OVERVIEW Welcome to JADE VINE! The terms “we”, “us”, and “our” refer to JADE VINE, a business operating from Ottawa, Ontario, Canada. JADE VINE operates this store and website to provide a curated shopping experience (the “Services”). JADE VINE is powered by Shopify.

SECTION 2 – PRODUCTS AND DESCRIPTIONS We strive to provide accurate product descriptions, images, and pricing. However, colors, textures, and appearances may vary due to device settings or other factors. All descriptions, pricing, and availability are subject to change without notice. We reserve the right to correct errors, discontinue products, or limit quantities.

SECTION 3 – ORDERS AND ACCEPTANCE Your order is an offer to purchase. We reserve the right to accept, decline, modify, or cancel any order for any reason, including pricing errors, stock issues, or suspected fraud. A contract is formed only upon our acceptance (typically via order confirmation email) and successful payment processing.

All purchases are for personal or household use and subject to our Refund Policy. Commercial resale or export without authorization is prohibited.

SECTION 4 – PRICES, CURRENCY, AND BILLING All prices are in United States Dollars (USD) unless otherwise stated. Prices exclude taxes, shipping, handling, customs duties, and import fees, which will be calculated at checkout where applicable.

We may adjust prices or run promotions at any time. You authorize us (or our payment processors) to charge your payment method for the full amount, including applicable taxes and fees. You warrant that your payment information is accurate and that you are authorized to use it.

US Sales Tax: Depending on your location and our sales volume, we may be required to collect and remit US sales tax in certain states per economic nexus rules. We comply with applicable tax laws.

SECTION 5 – SHIPPING, DELIVERY, AND INTERNATIONAL SALES Shipping times are estimates only and not guaranteed. We are not liable for delays caused by carriers, customs, or events beyond our control.

For shipments to the United States, title and risk of loss generally pass to you upon handover to the carrier. You are responsible for any import duties, taxes, or customs fees. We are not liable for customs seizures, delays, or additional charges.

SECTION 6 – INTELLECTUAL PROPERTY All content, trademarks, and materials on the Services are owned by JADE VINE or its licensors and protected by Canadian, US, and international intellectual property laws. You receive a limited, revocable, non-exclusive license for personal, non-commercial use only. Unauthorized copying, distribution, or use is prohibited.

SECTION 8 – RELATIONSHIP WITH SHOPIFY [NOTE TO MERCHANT: Do not modify or remove this section] JADE VINE is powered by Shopify, but all transactions are solely between you and JADE VINE. You release Shopify and its affiliates from all claims related to your purchases.

SECTION 9 – PRIVACY Your personal information is handled in accordance with our Privacy Policy and applicable laws, including PIPEDA (Canada) and relevant US state privacy laws.

SECTION 10 – FEEDBACK AND USER CONTENT By submitting feedback, reviews, or other content, you grant us a perpetual, royalty-free, worldwide license to use it for any purpose. You represent that your content does not violate any third-party rights.

SECTION 11 – ERRORS, INACCURACIES, AND CHANGES We reserve the right to correct any errors in pricing, descriptions, or availability without notice, even after an order is placed (to the extent permitted by law).

SECTION 12 – PROHIBITED CONDUCT You agree not to use the Services for any unlawful purpose, to infringe rights, transmit harmful code, spam, harass, or engage in any activity that interferes with the Services or violates applicable Canadian or US law.

SECTION 13 – AGENTS AND AUTOMATED ACCESS Automated tools, bots, or AI agents (“Agents”) must properly identify themselves (e.g., User-Agent header) and may not circumvent security measures or mimic human behavior. We may block non-compliant access.

SECTION 14 – TERMINATION We may suspend or terminate your access at any time for violations. Provisions regarding Intellectual Property, Liability, Indemnification, and Governing Law survive termination.

SECTION 20 – GOVERNING LAW AND JURISDICTION These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of laws principles.

You agree to submit to the exclusive jurisdiction of the courts located in Ottawa, Ontario for any disputes. However, nothing in these Terms limits any mandatory consumer protections or rights you may have under the laws of your jurisdiction (including US federal or state consumer protection laws).
